These General Terms and Conditions apply as of 25 July 2025. They are freely available upon request from Checkline Europe and published on our official website. These Terms are filed with the Chamber of Commerce Veluwe and Twente in Enschede under number 52852741.
1.1 These General Terms and Conditions apply to all offers and contracts through which Checkline Europe (hereinafter referred to as “Seller”) sells and delivers goods of any nature to Purchasers.
1.2 Deviations from or amendments to these Terms are only valid if agreed in writing with the Seller.
1.3 Where individual contractual terms differ from these Terms, the contractual terms take precedence.
1.4 The applicability of any Purchase Terms or other general conditions provided by the Purchaser is expressly rejected.
1.5 If any provision of these Terms is void or annulled, the remaining provisions shall remain fully effective.
These General Terms and Conditions form part of the broader compliance framework of Checkline Europe B.V., which also includes our Code of Conduct. All employees, subcontractors, and business partners are expected to act in accordance with these shared values and principles.
2.1 All offers and proposals are non-binding unless explicitly stated otherwise in writing.
2.2 The validity of offers is specified individually. Offers are only binding upon written acceptance of the Purchaser’s order by the Seller, in accordance with these Terms.
2.3 Verbal promises by Seller are not binding unless confirmed in writing.
3.1 A contract is formed when Seller confirms the order in writing or, in the absence thereof, delivers the goods pursuant to clause 4.5.
3.2 Seller reserves the right to refuse orders or impose additional conditions.
3.3 Seller only supplies to businesses (B2B); consumer transactions are excluded.
4.1 All prices exclude VAT and any government levies or incidental costs such as shipping, storage, and administration.
4.2 Prices include standard packaging but exclude freight unless otherwise agreed.
4.3 Seller may adjust prices due to changes in labour, material, transport costs, or exchange rates.
4.4 Delivery time starts upon written order confirmation. Delays do not entitle Purchaser to damages or cancellation.
4.5 Goods are delivered EXW (Ex Works, Incoterms 2020) unless otherwise agreed.
4.6 Seller will notify Purchaser of the intended delivery date in advance.
4.7 Partial deliveries are allowed.
4.8 Delivery times may vary depending on stock. For mixed orders, delivery is based on the latest item availability.
5.1 Risk passes to Purchaser upon delivery.
5.2 For non-EXW deliveries, Purchaser must report transport-related damage within 10 days, or any claim may be void.
5.3 Purchaser is responsible for verifying compliance with local legal requirements. Seller is not liable for non-compliance outside the Netherlands.
6.1 All invoices must be paid according to the terms stated on the invoice.
6.2 In case of late payment, statutory interest and at least 15% extrajudicial collection costs apply without further notice.
6.3 No right to offset or suspend payments exists, even in the case of complaints or claims.
6.4 Seller may suspend deliveries if Purchaser has outstanding payments.
7.1 Goods are delivered in line with Seller's current specifications. Design changes may occur without notice, provided quality is not affected.
7.2 Images on the website are for illustration only. Specifications may vary.
8.1 Warranties apply only to the extent provided by the manufacturer. Typically, a 6-month warranty covers defects due to material, design, or production issues, conditional on proper use and maintenance.
8.2 Warranty claims require an RMA number and return at Purchaser's expense.
8.3 If no defect is found, Seller may charge inspection and handling fees.
8.4 All other warranties are excluded. Seller accepts no liability for indirect or immaterial damage.
9.1 As Checkline Europe sells exclusively to businesses, no consumer right of withdrawal applies. Returns are possible only upon prior agreement with Seller. A restocking fee may be charged.

10.1 Seller is not liable for damages unless caused by intentional or gross negligence.
11.1 If delivery is delayed by Purchaser, Seller may store the goods at Purchaser's cost and risk.
12.1 Force majeure includes supplier defaults, material shortages, or other uncontrollable events.
12.2 In such cases, delivery is extended. If delay exceeds 3 months, either party may cancel without liability.
13.1 All intellectual property rights on designs, software, and documents remain with Seller.
13.2 Purchaser must not alter or remove markings or identifiers from goods.
14.1 Title remains with Seller until full payment is received.
14.2 If goods are incorporated into other products, Seller retains proportional title.
15.1 Seller may update these Terms.
15.2 Updates take effect 14 days after publication unless stated otherwise.
16.1 Dutch law applies. The Vienna Sales Convention is excluded.
16.2 Disputes are subject to the competent court in Almelo unless otherwise required by law.
17.1 An administrative fee of €50 (excl. VAT) applies to declined service or repair after diagnosis.
17.2 Return shipping costs are billed separately.
17.3 If a new product is purchased instead, the fee and return shipping costs are deducted from the new invoice.
